Terms of use

Version 0.1 · Effective date: [to be set on approval]

These terms are the agreement between you and Over-Biz for using Qlear. Please read them. By creating an account you agree to them.

1. What Qlear is — and isn’t

Qlear helps you keep records of money you lent and money you owe, calculates schedules and balances from what you enter, and sends reminders and receipts that you set up. Qlear is not a lender. It doesn’t lend, borrow, collect or hold money for anyone, and payments go directly between you and the other person.

Qlear isn’t financial, legal or tax advice, and the coach isn’t a licensed financial adviser. Its answers explain the figures Qlear calculates from your records; decisions stay yours.

2. Your account and household

You’re responsible for your account and for the people you invite to your household, including what their role lets them do (Owner, Member, View-only, or Collector in a Business workspace). Tell us straight away if you think someone has got into your account.

3. Your records, and the people in them

  • Your records are yours. You’re responsible for keeping them accurate.
  • Only record people you actually have a lending or borrowing relationship with, and have a lawful reason to keep their details. See our privacy notice for your role as their controller.
  • Schedules, balances and interest are calculated from what you enter. Card interest shown before a statement arrives is an estimate and is labelled as one.

4. If you lend as a business

  • A lending company in the Philippines must be an SEC-registered corporation with a Certificate of Authority (RA 9474). Registering, and following the rules that apply to you, is your responsibility, not Qlear’s.
  • When a loan exceeds the rate ceilings in SEC Memorandum Circular No. 14, s. 2025, Qlear warns you. The warning is information, not a legal ruling, and Qlear won’t stop you saving the loan.
  • The disclosure Qlear shows (amount lent, fee, net proceeds, finance charge, effective rate) is calculated from your terms, to help you meet the Truth in Lending Act (RA 3765). Giving it to your borrower is up to you.

5. Reminders and messages

Reminders and statements go out under your name, with replies coming to you. They are limited to one per person a day and three a week, and nothing is sent between 9 PM and 8 AM. Anyone who unsubscribes, or whose address bounces or complains, stops getting them. These limits apply to everyone and can’t be changed.

You must not use Qlear to threaten, shame or harass anyone, to contact people other than the borrower about a debt, or to mention consequences you can’t lawfully impose. The same standard applies to lending companies under SEC Memorandum Circular No. 18, s. 2019. We may suspend reminders, or an account, that break this rule.

6. Acceptable use

Don’t use Qlear for anything unlawful. Don’t try to access another household’s data, don’t interfere with the service, and don’t upload anything you don’t have the right to share.

7. Plans and payment

Free is free, with the limits shown on our pricing page. Paid plans remove or raise those limits.

Until self-serve checkout launches, paid plans are switched on by Over-Biz when you ask at hello@over-biz.com, on terms we agree with you.

Prices may change. We’ll tell you before a change affects a plan you’re paying for.

8. Changes, availability and ending

We work to keep Qlear available and your records safe, but we can’t promise it will never be interrupted. We may change or retire features, and we’ll give notice of significant changes. You can stop using Qlear at any time and ask us to delete your household. We may suspend or close an account that breaks these terms.

9. Liability

[Limitation of liability and disclaimer of warranties to be drafted by counsel.]

10. Governing law

These terms are governed by the laws of the Philippines. [Venue to be confirmed.]
